1. Acceptance of Terms and Merchant of Record

By accessing and using Numun AI's platform ("Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by these terms, please do not use this service.

Important Notice: All payments for Numun AI services are processed by Paddle.com as the Merchant of Record. Paddle.com is the reseller of our services and handles all payment processing, tax collection, and customer billing on our behalf. When you make a purchase, you are purchasing from Paddle.com, and your payment relationship is with Paddle.com, subject to Paddle's terms of service.

These Terms of Service ("Terms") constitute a legally binding agreement between you and Numun AI Inc. ("Company," "we," "us," or "our") regarding your use of our AI pipeline worker platform and related services.

2. Description of Service

Numun AI provides an AI-powered platform that enables businesses to automate workflows across sales, support, and operations through intelligent pipeline workers. Our Service includes:

  • AI pipeline worker deployment and management
  • Integration with third-party business applications
  • Workflow automation and optimization tools
  • Analytics and reporting dashboards
  • API access for custom integrations
  • Customer support and documentation

3. Payment Processing and Billing

All payments for Numun AI services are processed through Paddle.com, which acts as the Merchant of Record for all transactions. This means:

  • Paddle.com appears on your credit card or bank statements
  • Paddle.com handles all payment processing and security
  • Paddle.com is responsible for collecting and remitting all applicable taxes
  • All refunds and chargebacks are processed by Paddle.com
  • Your payment information is stored securely by Paddle.com

By making a payment, you agree to Paddle.com's terms of service and privacy policy in addition to these Terms.

4. Subscription Terms and Pricing

Our services are provided on a subscription basis:

  • Subscriptions are billed in advance monthly or annually
  • All prices are listed exclusive of applicable taxes
  • Paddle.com will add applicable taxes at checkout based on your location
  • Your subscription automatically renews unless cancelled
  • We reserve the right to change pricing with 30 days' notice
  • Price changes do not affect existing subscription terms until renewal

You can cancel your subscription at any time through your account settings or by contacting our support team. Cancellation will take effect at the end of your current billing period.

5. Refund Policy

All refunds are processed by Paddle.com as the Merchant of Record. Our refund policy includes:

  • 14-day free trial for all new customers
  • 30-day refund window for first-time purchasers
  • Refunds processed to original payment method
  • Pro-rated refunds for downgrades within billing period

6. User Accounts and Registration

To access our Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information

  • Accept responsibility for all activities under your account

You must be at least 18 years old and have the legal authority to enter into this agreement to use our Service.

7. Acceptable Use Policy

You agree to use our Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Use the Service for any illegal or unauthorized purpose
  • Violate any applicable laws, regulations, or third-party rights
  • Transmit harmful, offensive, or objectionable content
  • Attempt to gain unauthorized access to our systems
  • Use the Service to send spam or unsolicited communications

Payment and billing data is handled by Paddle.com according to their privacy policy and data protection standards.

The Service and its content, features, and functionality are owned by Numun AI Inc. and are protected by copyright, trademark, and other intellectual property laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use our Service for your internal business purposes.

You retain ownership of any data, content, or materials you provide to the Service.

10. Service Availability and Support

We strive to provide reliable service but cannot guarantee 100% uptime. We may perform maintenance or experience technical issues that temporarily affect service availability.

We provide customer support through various channels including email, chat, and documentation. Support availability may vary by subscription plan.

We reserve the right to modify or discontinue features with appropriate notice to users.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NUMUN AI INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, OR GOODWILL.

OUR TOTAL LIABILITY FOR ANY DAMAGES SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow certain liability limitations, so these limitations may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless Numun AI Inc. from any claims, damages, losses, or expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any law or third-party rights
  • Any content you submit through the Service

13. Termination

Either party may terminate this agreement:

  • At any time with 30 days' notice
  • Immediately for material breach of these Terms
  • Immediately if the other party becomes insolvent

We may suspend or terminate your access immediately if you violate these Terms or engage in harmful activities.

Upon termination, your access to the Service will cease, but certain provisions of these Terms will survive termination.

14. Tax Obligations

Paddle.com, as the Merchant of Record, is responsible for:

  • Calculating applicable taxes based on your billing location
  • Collecting taxes at the time of purchase
  • Remitting taxes to appropriate tax authorities
  • Providing tax invoices and documentation

You are responsible for any taxes not collected by Paddle.com that may be due in your jurisdiction.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles.

Any disputes will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court.

Payment disputes should be directed to Paddle.com's customer support as the Merchant of Record.

16. Changes to Terms

We may modify these Terms at any time. Material changes will be effective 30 days after notice is provided through:

  • Email notification to your account address
  • Notice posted on our website
  • In-app notification

Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
